These Ambassador Terms and Conditions govern the registration, participation, promotion, referral activity, commission tracking, and payout process for ambassadors using the EarnLink platform. By registering as an ambassador, generating a referral link, or sharing a campaign, you agree to be bound by these Terms.

1. Introduction

EarnLink is a referral and ambassador marketing platform that connects businesses with ambassadors who promote products and services through trackable referral links, codes, campaign pages, or other referral tools.

Ambassadors may earn commission where their referral activity results in a qualifying sale, lead, booking, enquiry, transaction, or other approved conversion, subject to these Terms and the rules of the relevant campaign.

EarnLink facilitates the tracking, administration, invoicing, collection, and payout process between businesses and ambassadors. EarnLink does not guarantee that any ambassador will earn income, receive sales, receive leads, or receive payment where the relevant business has not paid EarnLink.

2. Definitions

In these Terms, unless the context indicates otherwise:

“Ambassador”, “you”, or “your” means any person registered on EarnLink to promote products or services through referral links, codes, content, social media, communities, messaging platforms, websites, or other approved channels.

“Business” or “Brand” means a business, company, service provider, merchant, seller, organisation, or other entity listing products or services on EarnLink.

“Campaign” means a product, service, offer, promotion, listing, referral opportunity, or commission opportunity made available through EarnLink.

“Commission” means the amount that may become payable to an Ambassador for a qualifying Confirmed Sale or approved conversion.

“Confirmed Sale” means a sale, lead, booking, transaction, enquiry, or other qualifying event that has been confirmed by the Business or EarnLink in accordance with the relevant Campaign rules and Platform records.

“Customer” means the person who clicks, enquires, purchases, books, registers, submits information, or interacts with a Business through an Ambassador’s Referral Link, code, or tracked referral.

“EarnLink”, “we”, “us”, or “our” means the operator of the EarnLink Platform.

“Platform” means the EarnLink website, dashboard, marketplace, tracking system, referral system, software, and related services.

“Referral Link” means a unique link, code, URL, tracking reference, or other referral tool generated by EarnLink to attribute activity to an Ambassador.

“Pending Commission” means a commission amount reflected in an Ambassador account that has not yet become payable because it is still subject to confirmation, business payment, dispute review, cancellation, refund, chargeback, fraud review, minimum payout threshold, or verification.

“Approved Commission” means a commission amount that has been confirmed, approved, funded by the relevant Business, and cleared for payout by EarnLink.

3. Acceptance of Terms

By creating an Ambassador account, applying to promote a Business, generating a Referral Link, sharing a Campaign, or using EarnLink, you confirm that:

  • You have read and understood these Terms.
  • You agree to be bound by these Terms.
  • The information you provide to EarnLink is accurate and complete.
  • You will promote products and services honestly, lawfully, and responsibly.
  • You understand that Commission is only payable in accordance with these Terms.
  • You understand that EarnLink facilitates the tracking and payout process.
  • You understand that EarnLink does not guarantee payment where the relevant Business has not paid EarnLink.
  • You understand that Pending Commission is not the same as payable Commission.

If you do not agree to these Terms, you may not register or participate as an Ambassador.

4. Ambassador Eligibility

To register as an Ambassador, you must be at least 18 years old or otherwise have the legal capacity required to enter into these Terms.

EarnLink may request your full name, contact details, identification documents, payment details, tax information, social media details, audience information, verification documents, or any other information reasonably required to verify your account, process payouts, prevent fraud, or comply with applicable requirements.

EarnLink may approve, reject, suspend, or terminate an Ambassador account at its discretion.

5. Account Registration and Security

You are responsible for providing accurate, complete, and current information when registering and using EarnLink.

You must keep your login details secure and must not allow another person to use your account.

You are responsible for all activity that occurs under your account.

You may not create multiple accounts to manipulate tracking, commissions, campaign access, referral attribution, Ambassador approvals, payout thresholds, or Platform rules.

EarnLink may suspend or terminate duplicate, false, misleading, inactive, suspicious, or abusive accounts.

6. Role of EarnLink

EarnLink is a technology and referral facilitation platform.

EarnLink provides tools that may include:

  • Ambassador registration.
  • Campaign browsing.
  • Campaign applications.
  • Referral Link generation.
  • Click, lead, sale, and conversion tracking.
  • Ambassador dashboards.
  • Reporting and analytics.
  • Commission calculation.
  • Business invoicing and collection support.
  • Payout administration.
  • Communication between Businesses and Ambassadors.

EarnLink is not the seller, supplier, employer, agent, representative, guarantor, or surety of any Business.

EarnLink does not guarantee that a Business will accept your referral, confirm a sale, pay EarnLink, continue a campaign, or remain active on the Platform.

7. No Employment Relationship

Ambassadors are independent users of the EarnLink Platform.

Nothing in these Terms creates an employment relationship, agency relationship, partnership, joint venture, franchise, or representative relationship between you and EarnLink or between you and any Business.

You are not authorised to bind EarnLink or any Business, make promises on their behalf, represent yourself as their employee, or create obligations for them.

You are responsible for your own equipment, internet connection, content, marketing effort, tax obligations, and compliance with applicable laws and platform rules.

8. Campaign Participation

Businesses may list Campaigns, products, services, or offers on EarnLink.

Some Campaigns may be open to all eligible Ambassadors. Other Campaigns may require approval by EarnLink or the relevant Business.

Each Campaign may have its own rules, including:

  • Product or service promoted.
  • Commission amount or percentage.
  • What qualifies as a commissionable sale, lead, booking, enquiry, or conversion.
  • Attribution period.
  • Approved marketing channels.
  • Content rules.
  • Brand guidelines.
  • Promotional restrictions.
  • Refund and cancellation conditions.
  • Payout requirements.
  • Exclusions.
  • Approval requirements.

By applying for, accepting, promoting, or sharing a Campaign, you agree to follow these Terms and the Campaign rules.

9. Referral Links and Tracking

EarnLink may generate unique Referral Links or codes for Ambassadors.

You must use the Referral Links, codes, or approved tracking methods provided by EarnLink.

EarnLink’s tracking, attribution, reporting, and transaction records will be treated as the primary record for determining clicks, leads, referrals, sales, conversions, Pending Commission, Approved Commission, and payout eligibility, unless EarnLink determines that there has been a material system error.

You understand that tracking may be affected by factors outside EarnLink’s control, including browser settings, cookie restrictions, privacy tools, ad blockers, customer behaviour, incorrect link use, third-party platforms, messaging applications, connectivity issues, technical limitations, or changes made by social media platforms.

EarnLink is not responsible for lost, unattributed, incorrectly shared, blocked, expired, deleted, or technically interrupted Referral Links.

10. Commission Eligibility

You may become eligible for Commission only where:

  • You have an active Ambassador account.
  • You used the correct Referral Link, code, or approved tracking method.
  • The Customer action is properly attributed to your account.
  • The sale, lead, booking, enquiry, or conversion qualifies under the Campaign rules.
  • The transaction is confirmed by the Business or EarnLink.
  • The transaction is not cancelled, refunded, reversed, rejected, disputed, fraudulent, duplicated, or invalid.
  • The Business pays EarnLink for the relevant Confirmed Sale or approved conversion.
  • You have complied with these Terms and the Campaign rules.
  • Your payout details have been verified.
  • Any applicable minimum payout threshold has been reached.

No Commission is earned merely because a link was clicked, viewed, shared, liked, commented on, saved, or engaged with, unless the specific Campaign rules expressly state otherwise.

11. Pending Commission Is Not Payable Commission

Amounts displayed as pending, estimated, projected, awaiting confirmation, awaiting business approval, awaiting business payment, or under review are not yet payable.

Pending Commission may be adjusted, delayed, reversed, cancelled, rejected, or reduced if:

  • The Business does not confirm the transaction.
  • The Business disputes the transaction.
  • The Customer cancels.
  • The Customer receives a refund.
  • Payment fails.
  • A chargeback occurs.
  • The transaction is duplicated.
  • The transaction was incorrectly attributed.
  • The transaction does not meet the Campaign rules.
  • Fraud or abuse is suspected.
  • The Business does not pay EarnLink.

Only Approved Commission is eligible for payout.

12. No Guaranteed Earnings

EarnLink does not guarantee that you will earn any income, Commission, sales, leads, conversions, referrals, approvals, or payouts.

Any examples, dashboards, Campaign estimates, Commission rates, marketing materials, or earning illustrations shown on the Platform are for informational purposes only and do not guarantee results.

Your actual earnings may depend on factors including your audience, promotional effort, content quality, Campaign demand, customer behaviour, Business approval, transaction confirmation, refunds, cancellations, tracking limitations, and Business payment to EarnLink.

13. Important Payout Condition: Business Must Pay EarnLink First

You acknowledge and agree that EarnLink facilitates the payment process between the Business and the Ambassador.

EarnLink is not required to pay any Commission to you until EarnLink has received the corresponding payment from the relevant Business.

Your claim to Commission is linked to the relevant Business’s payment obligation. EarnLink administers and facilitates the payout process, but EarnLink does not assume, guarantee, underwrite, or become personally liable for the Business’s payment obligation unless expressly agreed in writing.

If the Business does not pay EarnLink, delays payment, disputes the transaction, becomes insolvent, refuses payment, fails to meet its payment obligations, or is suspended from the Platform, EarnLink may delay, withhold, reverse, or cancel the related Ambassador payout.

14. Claim to Funds

Where Commission is generated from a Business Campaign, the underlying obligation to fund that Commission rests with the relevant Business.

EarnLink’s role is to calculate, record, administer, invoice, collect, and facilitate the payout of Commission after the Business has paid EarnLink.

You agree that EarnLink is not personally liable to pay unpaid Commission from its own funds where EarnLink has not received payment from the Business for the relevant Confirmed Sale or approved conversion.

EarnLink may assist with communication, follow-up, invoicing, collection, Platform enforcement, suspension, or account action against the Business, but this does not create a guarantee of payment by EarnLink.

15. Payout Timing

Ambassador payouts may only be processed after:

  • The relevant transaction has been confirmed.
  • The Business has paid EarnLink.
  • Any dispute, refund, cancellation, or chargeback period has passed or been resolved.
  • Your account and payout details have been verified.
  • You have reached any applicable minimum payout threshold.
  • EarnLink has completed any fraud, compliance, identity, administrative, or risk checks.
  • The payout falls within EarnLink’s payout cycle.

EarnLink may set payout cycles, such as weekly, bi-weekly, monthly, or another schedule displayed on the Platform.

EarnLink may delay payouts where additional verification, review, risk assessment, or Business payment confirmation is required.

16. Minimum Payout Threshold

EarnLink may apply a minimum payout threshold.

If your Approved Commission balance is below the minimum payout threshold, the amount may remain in your account until the threshold is reached.

EarnLink may update the minimum payout threshold from time to time.

17. Payment Details

You are responsible for providing accurate and current payment details.

EarnLink is not responsible for failed, delayed, misdirected, rejected, reversed, or incorrect payments caused by incorrect bank details, mobile wallet details, identity information, tax information, or other payment information provided by you.

EarnLink may require you to verify your identity, banking details, mobile wallet details, or other payout details before releasing funds.

If payment details are incomplete, incorrect, suspicious, or unverified, EarnLink may delay or withhold payout until the issue is resolved.

18. Payment Method and Processing Fees

EarnLink may pay Ambassadors using bank transfer, mobile wallet, payment gateway, wallet balance, or any other payout method supported by EarnLink.

EarnLink may deduct or pass on reasonable fees related to payout processing, bank charges, wallet fees, payment gateway fees, currency conversion, administrative costs, or other fees displayed on the Platform or communicated to you.

Any applicable fees will be shown where reasonably practical.

19. Reversals, Refunds and Chargebacks

A Commission may be reversed, cancelled, adjusted, deducted, or removed from your account if:

  • The Customer cancels the transaction.
  • The Customer receives a refund.
  • The Customer payment fails.
  • A chargeback occurs.
  • The Business rejects or disputes the transaction for a valid reason.
  • The transaction was fraudulent, duplicated, or invalid.
  • The transaction did not meet Campaign rules.
  • The referral was incorrectly attributed.
  • You breached these Terms or Campaign rules.
  • The Business does not pay EarnLink.
  • EarnLink identifies a tracking, reporting, or calculation error.

If Commission has already been paid to you and is later reversed, EarnLink may deduct the amount from future payouts or request repayment.

20. Commission Disputes

If you believe a Commission has not been correctly tracked, confirmed, approved, or paid, you must notify EarnLink within 7 calendar days after the relevant issue appears in your dashboard or after you reasonably became aware of it.

You must provide supporting information, such as:

  • Campaign name.
  • Referral Link used.
  • Date and time of promotion.
  • Screenshot of your post or message.
  • Customer information where lawful and available.
  • Proof of communication.
  • Any other relevant evidence.

EarnLink may investigate the matter and may request information from the relevant Business.

EarnLink’s decision regarding tracking, attribution, confirmation, rejection, reversal, Commission eligibility, or payout status will be final unless there is clear evidence of material error.

21. Prohibited Ambassador Conduct

You must not engage in misleading, unlawful, abusive, fraudulent, or harmful promotional conduct.

You may not:

  • Make false or misleading claims about a product, service, Business, discount, price, result, earning opportunity, or availability.
  • Pretend to be EarnLink or a Business.
  • Create fake leads, fake sales, fake enquiries, fake accounts, fake Customers, or fake transactions.
  • Purchase through your own link unless the Campaign expressly allows self-referrals.
  • Ask family, friends, employees, or others to create fake or non-genuine transactions.
  • Use bots, automated traffic, click farms, click exchanges, spam networks, or artificial engagement.
  • Send unsolicited bulk messages or spam.
  • Use misleading headlines, fake urgency, false scarcity, or deceptive content.
  • Promote prohibited, unlawful, regulated, restricted, or unsafe products where not authorised.
  • Use offensive, discriminatory, hateful, sexually explicit, defamatory, harassing, or harmful content.
  • Use a Business’s logo, brand name, images, or trademarks in a misleading or unauthorised way.
  • Run paid ads using a Business’s name, trademark, brand terms, or protected keywords unless permitted by the Campaign rules.
  • Make medical, financial, legal, income, performance, or guarantee claims unless authorised and legally compliant.
  • Circumvent EarnLink or encourage Customers or Businesses to bypass EarnLink.
  • Interfere with tracking or attribution.
  • Damage EarnLink’s reputation or the reputation of any Business.
  • Misrepresent your relationship with EarnLink or any Business.
  • Use Referral Links in illegal, adult, hateful, fraudulent, or harmful environments.
  • Scrape, copy, manipulate, reverse engineer, or abuse the Platform.
  • Create duplicate accounts to avoid penalties or restrictions.

22. Truthful Promotion and Commission Disclosure

You must promote products and services honestly and responsibly.

Where required by law, social media platform rules, advertising standards, or good practice, you must clearly disclose that you may earn Commission from your Referral Link.

Examples of acceptable disclosure include:

  • “I may earn commission through this link.”
  • “Paid referral link.”
  • “EarnLink ambassador link.”
  • “I may earn from qualifying referrals.”

Disclosures must be clear, visible, and not hidden.

You are responsible for ensuring that your posts, videos, stories, messages, reviews, recommendations, and advertisements are truthful, accurate, lawful, and not misleading.

23. Content Standards

You are responsible for all content you create, publish, share, send, or distribute.

Your content must not:

  • Be unlawful.
  • Be misleading.
  • Infringe intellectual property rights.
  • Defame any person or business.
  • Contain hate speech or harassment.
  • Contain offensive or harmful content.
  • Misrepresent your relationship with EarnLink or any Business.
  • Breach social media platform rules.
  • Breach Campaign-specific rules.
  • Encourage unsafe, unlawful, or irresponsible behaviour.

EarnLink may request that you remove, edit, correct, or stop using content that breaches these Terms, breaches Campaign rules, misleads Customers, or may damage EarnLink, a Business, Customers, or other users.

Failure to comply may result in Commission reversal, Campaign removal, account suspension, or termination.

24. Use of Business Materials

A Business may provide logos, images, product descriptions, videos, campaign copy, pricing, discount information, or other promotional materials.

You may use such materials only for the purpose of promoting the relevant Campaign and only in accordance with these Terms and the Campaign rules.

You may not alter, misuse, resell, misrepresent, or continue using Business materials after your Campaign access ends, unless permitted in writing.

You may not register domain names, social media handles, pages, groups, or accounts using EarnLink’s name or a Business’s brand name without prior written consent.

25. Intellectual Property

All rights in the EarnLink Platform, software, design, dashboards, tracking system, reports, logo, brand, domain, databases, and related intellectual property belong to EarnLink or its licensors.

You may not copy, reverse engineer, scrape, duplicate, resell, exploit, modify, or misuse any part of the Platform.

You retain ownership of your original content, but you grant EarnLink a non-exclusive, royalty-free licence to use, display, share, reproduce, publish, store, and refer to content you submit to EarnLink or create in connection with Campaigns for Platform, promotional, reporting, dispute, compliance, or operational purposes.

26. Customer Data and Privacy

You may receive or handle Customer information through referral activity, messages, enquiries, or Campaign participation.

You must use Customer information only for legitimate purposes related to the relevant Campaign or referral.

You may not sell, misuse, disclose, spam, harvest, or unlawfully process Customer information.

You must respect privacy, confidentiality, and applicable data protection requirements.

EarnLink may process Ambassador, Customer, Business, transaction, tracking, device, and usage data to operate the Platform, verify activity, prevent fraud, process payouts, resolve disputes, improve services, and comply with legal obligations.

27. Taxes

You are responsible for your own tax obligations arising from any Commission, income, benefit, or payment received through EarnLink.

EarnLink does not provide tax advice.

Where required, EarnLink may request tax information, identification information, or declarations before processing payouts.

You are responsible for declaring your income to the relevant tax authority where applicable.

28. Platform Fees or Deductions

EarnLink may charge or deduct reasonable fees related to payout processing, bank charges, wallet fees, payment gateway fees, currency conversion, administrative costs, or other fees displayed on the Platform or communicated to you.

Any applicable fees will be shown where reasonably practical.

29. Account Suspension and Termination

EarnLink may suspend, restrict, or terminate your Ambassador account if you:

  • Breach these Terms.
  • Breach Campaign rules.
  • Provide false or misleading information.
  • Engage in fraud or suspicious activity.
  • Misuse Referral Links.
  • Generate fake leads or sales.
  • Mislead Customers.
  • Spam or harass people.
  • Damage EarnLink or a Business’s reputation.
  • Misuse Customer or Business data.
  • Fail verification checks.
  • Breach applicable laws or platform rules.
  • Circumvent EarnLink.
  • Create duplicate accounts.
  • Abuse the Platform or other users.

If your account is suspended or terminated, EarnLink may withhold, reverse, or cancel pending Commission while investigating any breach, fraud, dispute, refund, non-payment, or unpaid Business amount.

Termination does not automatically remove valid Approved Commission already funded by the Business, unless there is fraud, breach, reversal, dispute, refund, chargeback, incorrect attribution, or other valid reason to withhold or reverse payment.

30. Inactive Accounts

EarnLink may treat an account as inactive if there is no login, Campaign activity, referral activity, or payout activity for a prolonged period.

EarnLink may close inactive accounts after notice where reasonably practical.

Any unpaid balance may remain subject to payout thresholds, verification requirements, Business payment status, and applicable laws.

31. Platform Availability

EarnLink will use reasonable efforts to keep the Platform available, but does not guarantee uninterrupted, error-free, secure, or continuous operation.

EarnLink is not responsible for loss of Commission, traffic, clicks, leads, income, data, followers, engagement, or opportunities caused by downtime, technical errors, social media platform changes, internet problems, payment gateway issues, hosting issues, tracking limitations, third-party failures, or events outside EarnLink’s reasonable control.

32. Changes to Campaigns

Businesses may pause, end, modify, or remove Campaigns.

Commission rates and Campaign rules may change from time to time.

Changes will apply to future activity only, unless required due to fraud, error, refund, cancellation, legal risk, Campaign abuse, or Platform integrity.

You are responsible for checking current Campaign rules before promoting.

33. Changes to These Terms

EarnLink may update these Terms from time to time.

Updated Terms may be published on the Platform or communicated to you.

Your continued use of EarnLink after updated Terms become effective means you accept the updated Terms.

If you do not agree to the updated Terms, you must stop using EarnLink.

34. Limitation of Liability

To the maximum extent permitted by law, EarnLink will not be liable for:

  • Loss of income.
  • Loss of expected Commission.
  • Loss of followers, traffic, engagement, or opportunities.
  • Business non-payment.
  • Business refusal to confirm a transaction.
  • Business insolvency.
  • Refunds, cancellations, or chargebacks.
  • Customer disputes.
  • Social media account restrictions or removals.
  • Platform downtime.
  • Tracking limitations.
  • Third-party service failures.
  • Indirect or consequential damages.
  • Campaign removal or suspension.
  • Incorrect information provided by a Business.

EarnLink’s role is limited to operating and facilitating the Platform. EarnLink does not guarantee payment from a Business.

To the extent any liability cannot be excluded, EarnLink’s liability will be limited to the amount of Commission actually received by EarnLink from the relevant Business for the specific transaction giving rise to the claim.

35. Indemnity

You indemnify and hold EarnLink harmless against claims, losses, damages, penalties, costs, or expenses arising from:

  • Your promotional content.
  • Your breach of these Terms.
  • Your breach of Campaign rules.
  • False or misleading claims made by you.
  • Your misuse of Business materials.
  • Your breach of intellectual property rights.
  • Your misuse of Customer or Business data.
  • Fraudulent or unlawful referral activity.
  • Spam, harassment, or unlawful marketing.
  • Your tax obligations.
  • Your violation of social media platform rules.
  • Any claim caused by your conduct as an Ambassador.

36. Notices and Communication

EarnLink may communicate with you through email, dashboard notifications, WhatsApp, SMS, telephone, or notices displayed on the Platform.

You are responsible for ensuring that your contact details remain accurate and up to date.

A notice sent to your registered email address or displayed in your dashboard will be treated as received unless proven otherwise.

37. Governing Law

These Terms are governed by the laws of the Republic of Namibia.

You agree to submit to the jurisdiction of the competent courts of Namibia in respect of any dispute arising from these Terms or your use of EarnLink.

38. General

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to apply.

Failure by EarnLink to enforce any right under these Terms does not constitute a waiver of that right.

You may not transfer or assign your rights or obligations under these Terms without EarnLink’s prior written consent.

EarnLink may assign, transfer, or subcontract its rights or obligations where reasonably required for business, operational, restructuring, or legal purposes.
